ZEUS AI TRADING — TERMS OF SERVICE Effective Date: March 19, 2026 Last Updated: March 19, 2026 PLEASE READ THESE TERMS OF SERVICE ("TERMS") CAREFULLY BEFORE USING THE ZEUS AI TRADING PLATFORM. BY CREATING AN ACCOUNT OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. 1. OVERVIEW AND ACCEPTANCE Zeus AI Trading ("Zeus AI," "we," "us," or "our") operates an automated portfolio management platform accessible at portal.zeusai-tech.com (the "Service"). These Terms govern your access to and use of the Service. By creating an account, connecting a brokerage account, or otherwise using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you do not agree to these Terms, do not use the Service. 2. DESCRIPTION OF SERVICE Zeus AI Trading provides AI-driven portfolio management for U.S. equities. The Service: (a) Connects to your existing brokerage account via SnapTrade, a third-party account aggregation service, using secure OAuth authorization; (b) Executes daily trades in S&P 500 stocks based on proprietary deep learning models that assign confidence scores to each security; (c) Rebalances your portfolio daily during market hours (typically 3:30 PM ET, Monday through Friday, excluding U.S. market holidays); (d) Selects a portfolio of the top 5, 10, 15, or 20 stocks weighted by confidence score, as configured by you. The Service is not a registered investment adviser, broker-dealer, or financial planner. The Service does not provide personalized investment advice, tax advice, or financial planning services. All trading decisions are generated algorithmically and are not tailored to your individual financial situation, goals, or risk tolerance beyond the strategy configuration you select. 3. ACCOUNT REGISTRATION AND ELIGIBILITY 3.1 Invitation-Only Access. During our staged rollout, access to the Service is by invitation only. You must receive a valid invitation to create an account. 3.2 Account Information. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for safeguarding your account credentials and for all activity under your account. 3.3 Brokerage Account Requirement. To use the Service, you must connect a compatible brokerage account through SnapTrade. You represent that you are the authorized owner or holder of any brokerage account you connect. Zeus AI does not hold, custody, or have direct access to your brokerage login credentials; all connectivity is managed through SnapTrade's OAuth integration. 4. FEES AND BILLING 4.1 Fee Structure. Zeus AI charges an annual management fee based on your Assets Under Management ("AUM"), calculated as a percentage of the average daily value of your connected portfolio(s). The current annual fee rate is 2.0%, billed monthly in arrears. 4.2 Trial Period. New users receive a 90-day free trial beginning on the date of onboarding completion. No fees are charged during the trial period. 4.3 Payment Method. You must provide a valid payment method (credit or debit card) via our payment processor, Stripe, Inc. By providing a payment method, you authorize us to charge applicable fees on your billing anniversary date each month. 4.4 Late and Failed Payments. If a payment fails, we will attempt to collect the outstanding amount. After repeated payment failures, we may suspend automated trading on your account until payment is resolved. We reserve the right to charge late fees or interest on overdue balances as permitted by law. 4.5 Fee Changes. We may change our fee structure upon 30 days' prior written notice to the email address associated with your account. You may terminate your use of the Service at any time before the effective date of a fee change by deactivating your portfolios and disconnecting your brokerage account. If you do not terminate before the effective date, your continued use of the Service after the effective date constitutes your acceptance of the new fees. 4.6 Refunds. Management fees are non-refundable once charged. If you terminate your account mid-billing period, no pro-rata refund will be issued for the remainder of that billing period. Fees charged in error will be refunded promptly upon verification. 5. TRADING AND PORTFOLIO MANAGEMENT 5.1 Authorization. By connecting your brokerage account and creating a portfolio, you authorize Zeus AI to place buy and sell orders in your brokerage account on your behalf, in accordance with your selected strategy. 5.2 No Guarantees. Zeus AI does not guarantee any specific return, outcome, or performance. See the Investment Risk Disclosure for a full discussion of risks. 5.3 Trading Limitations. The Service trades only U.S. equities listed in the S&P 500 index. The Service does not trade options, futures, fixed income, cryptocurrencies, or other asset classes. The Service maintains a minimum cash reserve (currently 2%) in your portfolio to cover trading costs and market fluctuations. 5.4 System-Wide Trading Halt. Zeus AI maintains a system-wide trading kill switch that may be activated to halt all automated trading across the platform in the event of system issues, market disruptions, or other circumstances requiring immediate intervention. 5.5 Brokerage Relationship. Your brokerage account is held at and governed by your brokerage firm, not by Zeus AI. You are bound by your brokerage firm's terms and conditions, margin requirements, and fee schedules in addition to these Terms. 6. INTELLECTUAL PROPERTY All content, algorithms, models, software, and materials provided through the Service are the exclusive property of Zeus AI or its licensors. You may not copy, modify, distribute, or reverse engineer any part of the Service. 7. DATA AND PRIVACY Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and processing of your information as described in the Privacy Policy. 8. DISCLAIMERS AND LIMITATION OF LIABILITY 8.1 Disclaimer of Warranties. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. 8.2 No Investment Advice. NOTHING IN THE SERVICE CONSTITUTES INVESTMENT ADVICE, A RECOMMENDATION TO BUY OR SELL ANY SECURITY, OR AN OFFER TO PROVIDE INVESTMENT ADVISORY SERVICES. YOU SHOULD CONSULT A QUALIFIED FINANCIAL ADVISOR BEFORE MAKING INVESTMENT DECISIONS. 8.3 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZEUS AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR INVESTMENT LOSSES, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU TO ZEUS AI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. 8.4 Third-Party Services. Zeus AI is not responsible for the acts or omissions of third-party service providers, including SnapTrade, Stripe, your brokerage firm, or any securities exchange. 9. INDEMNIFICATION You agree to indemnify and hold harmless Zeus AI and its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorney's fees) arising from your use of the Service, your breach of these Terms, or your violation of any law or third-party rights. 10. TERMINATION 10.1 By You. You may discontinue use of the Service at any time by deactivating your portfolios and disconnecting your brokerage account in the settings page, or by contacting support@zeusai-tech.com. 10.2 By Us. We may suspend or terminate your account immediately and without prior notice if you breach these Terms, engage in fraudulent activity, or if required by law or regulatory action. For termination without cause, we will provide at least 30 days' prior written notice to the email address associated with your account. 10.3 Effect of Termination. Upon termination, Zeus AI will cease placing orders in your brokerage account. Any existing positions in your brokerage account will remain and will not be automatically liquidated. You are responsible for managing your brokerage account after termination. Outstanding fees through the date of termination remain payable. No refund will be issued for fees already charged. 11. MODIFICATIONS TO TERMS We may modify these Terms at any time by posting the revised Terms on the Service and updating the "Last Updated" date. Material changes will be communicated via email at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. 12. GOVERNING LAW AND DISPUTE RESOLUTION 12.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. 12.2 Binding Arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding. Judgment on the arbitration award may be entered in any court of competent jurisdiction. 12.3 Class Action Waiver. YOU AND ZEUS AI AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST ZEUS AI. 12.4 Exceptions to Arbitration. Either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits. Either party may seek injunctive or equitable relief in a court of competent jurisdiction located in the State of Delaware to prevent the actual or threatened infringement of intellectual property rights. 12.5 Opt-Out. You may opt out of the arbitration and class action waiver provisions by sending written notice to support@zeusai-tech.com within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration. 13. FORCE MAJEURE Zeus AI shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, war, terrorism, government actions, exchange or market rulings, trading halts, brokerage outages, third-party service provider failures (including SnapTrade, AWS, and Stripe), internet or network disruptions, power failures, cyberattacks, or labor disputes. During any period in which performance is delayed or prevented by force majeure, automated trading may be suspended without liability. 14. MISCELLANEOUS 14.1 Entire Agreement. These Terms, together with the Privacy Policy and Investment Risk Disclosure, constitute the entire agreement between you and Zeus AI regarding the Service. In the event of a conflict between these Terms and the Privacy Policy or Investment Risk Disclosure, these Terms shall control except with respect to matters specifically addressed in those documents. 14.2 Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. 14.3 No Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. 14.4 Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets. 14.5 Contact.
