THIS DISCLOSURE CONTAINS MATERIAL INFORMATION ABOUT THE RISKS OF AUTOMATED INVESTING. 1. GENERAL INVESTMENT RISK Investing in securities involves substantial risk of loss, including the potential loss of your entire invested capital. The value of investments can fluctuate significantly due to market conditions, economic events, geopolitical developments, and other factors beyond our control. Past performance of any investment strategy, algorithm, or model is not indicative of future results. Historical returns, backtested results, and simulated performance do not guarantee future performance and should not be relied upon as a predictor of future returns. 2. RISKS SPECIFIC TO AUTOMATED TRADING 2.1 Algorithmic and Model Risk. Zeus AI Trading uses proprietary deep learning models to select and weight portfolio positions. These models are based on historical data and quantitative analysis. There is no guarantee that patterns identified in historical data will persist in the future. The models may fail to anticipate sudden market changes, black swan events, or regime shifts in market behavior. Specific model risks include: (i) the models have not been tested through all market cycle phases (including prolonged bear markets, recessions, and periods of extreme volatility); (ii) the strategy is long-only and does not employ hedging, short selling, or other risk mitigation techniques; (iii) the models depend on the continued availability and accuracy of input data, and data quality issues could lead to suboptimal trading decisions. 2.2 Concentration Risk. The Service invests in a limited number of S&P 500 stocks (5, 10, 15, or 20 positions depending on your selected strategy). This concentrated approach means that poor performance of even a single holding may have a significant impact on your portfolio returns compared to a more diversified strategy. 2.3 Rebalancing and Tax Risk. The Service rebalances daily, which involves selling existing positions and buying new ones. Frequent trading may result in: (i) short-term capital gains, which are typically taxed at higher rates than long-term capital gains; (ii) wash sale disallowances under IRS Section 1091, which occur when a security is sold at a loss and a substantially identical security is purchased within 30 days before or after the sale — daily rebalancing makes wash sales likely when the same stock exits and re-enters the portfolio within this window, potentially disallowing tax deductions for those losses; (iii) increased transaction costs. There is no guarantee that orders will be filled at the expected price, or at all. Market conditions, liquidity, brokerage outages, API failures, and network issues may prevent or delay order execution. 2.5 Technology Risk. The Service relies on multiple technology systems, including AI models, cloud infrastructure (AWS), brokerage connectivity (SnapTrade), and payment processing (Stripe). System failures, software bugs, data errors, or cybersecurity incidents in any of these components could disrupt the Service and result in financial loss. 2.6 Market Hours Limitation. The Service trades only during U.S. market hours (9:30 AM to 4:00 PM ET, Monday through Friday). Significant price movements outside of trading hours, including overnight and weekend events, may affect your portfolio before the Service can respond. 2.7 Liquidity and Market Impact Risk. While S&P 500 stocks are generally liquid, large numbers of simultaneous orders placed by multiple users of the Service near the same time (currently 3:30 PM ET) could experience reduced fill quality or slippage, particularly in less actively traded index constituents. As the Service grows, concentration of order flow at a single daily time window may amplify this effect. 3. WHAT ZEUS AI TRADING IS NOT 3.1 Not Investment Advice. The Service does not provide personalized investment advice. Trading decisions are generated algorithmically and are not tailored to your individual financial situation, investment objectives, time horizon, or risk tolerance beyond the strategy configuration you select. 3.2 Not a Registered Investment Adviser. Zeus AI Trading is not registered as an investment adviser with the Securities and Exchange Commission (SEC) or any state securities regulator. The Service is a software tool that executes a quantitative trading strategy on your behalf. 3.3 Not a Broker-Dealer. Zeus AI Trading does not hold, custody, or have direct access to your funds or securities. All assets remain in your brokerage account at your chosen brokerage firm. 3.4 Not a Guarantee of Income or Capital Preservation. There is no guarantee that using the Service will result in profits or prevent losses. 4.
